As part of the transaction, shareholders of the merging company received newly issued shares in the surviving company based on a predetermined exchange ratio.

Specifically, every ordinary share of the merging company outstanding immediately before completion of the merger was cancelled in exchange for 68.3775 ordinary shares of the surviving company.

Any resulting fractional shares were rounded up to the nearest whole ordinary share.

Meanwhile, existing LianBio shareholders retained ownership of their ordinary shares, which continued as validly issued, fully paid, and non-assessable ordinary shares of the renamed company, subject to the treatment of dissenting shareholders under Cayman Islands law.

This structure ensured continuity for existing shareholders while facilitating the integration of the two organizations into a single corporate entity.
