BNB Plus Appoints Three New Directors to Support Strategic Transformation and Digital Infrastructure Growth

BNB Plus Corp., referred to as “BNB Plus” or the “Company,” has announced the appointment of three new members to its Board of Directors as part of its ongoing strategic review and broader transformation efforts. The appointments bring together executives and investors with experience spanning corporate restructuring, institutional finance, digital assets, communications networks, data center infrastructure, business information services, and decentralized computing.

The addition of Richard Shorten, Lok Lee, and Todd Larsen is expected to strengthen the Company’s leadership capabilities as BNB Plus evaluates opportunities at the intersection of biotechnology innovation and emerging digital asset and infrastructure markets. The new directors bring different areas of expertise that could help the Company assess strategic alternatives, identify opportunities for growth, and develop a long-term strategy focused on shareholder value.

Richard Shorten will assume the role of Chairman of the Board. Lok Lee and Todd Larsen will also join the Board, bringing backgrounds in investment banking, digital infrastructure, institutional finance, enterprise information services, and corporate leadership.

Richard Shorten Named Chairman of the Board

Richard Shorten, the incoming Chairman, brings more than three decades of experience working with public companies and businesses undergoing significant strategic and financial transformation. His career includes involvement in initial public offerings, going-private transactions, strategic combinations, and other corporate transactions.

Shorten also has extensive experience in communications networks and data center infrastructure, areas that have become increasingly important as demand for digital services, cloud computing, decentralized networks, and artificial intelligence infrastructure continues to grow.

He is the Founder and General Partner of Silvermine Capital Advisors, an investment firm focused on digital assets. Shorten also serves as Chairman of GlobalStake, a Web3 infrastructure provider.

His background combines traditional corporate finance and legal experience with exposure to emerging digital asset technologies. Before moving into investment and corporate leadership, Shorten began his professional career as a corporate attorney at Cravath, Swaine & Moore in New York.

His appointment as Chairman provides BNB Plus with leadership from an executive who has experience navigating corporate transformation while also participating in the development of digital asset and Web3 infrastructure businesses.

Shorten said the Company occupies a distinctive position between biotechnology innovation and digital asset infrastructure and expressed optimism about the opportunities available across both areas.

Lok Lee Adds Investment Banking and Digital Infrastructure Experience

Lok Lee joins the BNB Plus Board with a background in investment management, capital markets, and digital infrastructure.

Lee is the Managing Member of 2L Advisors, an investment firm focused on the digital infrastructure economy. He also serves as manager of Good Morning Holdings.

His professional background includes several senior investment banking positions. Among those roles, Lee served as Managing Director and European Co-Head of Leveraged Capital Markets for UBS Investment Bank.

That experience has given Lee exposure to corporate finance, capital formation, leveraged transactions, institutional investors, and strategic decision-making. His current work in digital infrastructure provides an additional perspective relevant to BNB Plus as the Company evaluates opportunities within technology-driven markets.

Lee also serves as a Venture Partner at Tuesday Capital, formerly known as CrunchFund. In addition, he is a director of Insight Digital Partners II (NASDAQ: DYOR), a special purpose acquisition company focused on pursuing a business combination in the digital infrastructure economy.

His combination of investment banking and digital infrastructure experience is expected to complement the financial and strategic capabilities of the Company’s newly expanded Board.

As companies increasingly seek infrastructure capable of supporting cloud computing, artificial intelligence, blockchain applications, and decentralized networks, digital infrastructure has become an important area of investment. Todd Larsen Brings Global Business Leadership

Todd Larsen joins the Board with extensive experience leading large-scale information, research, and analytics businesses.

Larsen currently serves as President of Nexis Solutions, the global business information and analytics division of LexisNexis. In this position, he oversees a worldwide portfolio of research and intelligence solutions used by enterprises, financial institutions, professional services organizations, and government agencies.

His experience includes managing technology-enabled information businesses that serve customers across multiple industries and geographies. Such experience can provide valuable insight into enterprise technology, data-driven decision-making, global operations, and the commercialization of information and analytics solutions.

Before joining his current role at LexisNexis, Larsen served as Executive Vice President of Time, Inc. and President of Dow Jones & Co.

His previous executive positions have given him experience managing major media, information, and business organizations, while his current leadership responsibilities have further expanded his exposure to technology, data, research, and intelligence services.

Larsen’s appointment adds another dimension to the BNB Plus Board as the Company considers how technology, information, infrastructure, and emerging digital markets could contribute to its future strategy.

The appointments of Shorten, Lee, and Larsen also involve changes to the Company’s existing Board composition. The three new directors will replace Robert Catell, Joseph Ceccolli, and Yacov Shamash.
