The agreement also includes up to $140 million in milestone-based payments tied to the achievement of specified development objectives.
In addition, Johnson & Johnson has secured an exclusive option to acquire Sail Biomedicines for an additional payment of $2.58 billion should it decide to exercise that option in the future.
The option structure allows Johnson & Johnson to participate in Sail’s ongoing scientific progress while preserving flexibility regarding a full acquisition.
Expected Financial Impact
Johnson & Johnson indicated that, assuming the acquisition option is exercised, the transaction is expected to reduce adjusted operational earnings per share and adjusted earnings per share by approximately $0.18 during 2026.
The projected impact would increase to approximately $1.28 per share during 2027, reflecting continued investment associated with the transaction.
The company also noted that updated financial guidance has been included in its Current Report on Form 8-K filed with the U.S. Securities and Exchange Commission.
