The agreement combines Jazz’s growing oncology expertise with AbCellera’s advanced antibody discovery technologies, creating a partnership designed to accelerate the development of innovative immunotherapies for patients facing difficult-to-treat cancers.

He added that the collaboration provides an opportunity to combine AbCellera’s differentiated technology platform with Jazz’s development expertise to advance novel cancer therapies for patients with limited treatment options.
Structure of the Collaboration
The agreement establishes a multi-program research collaboration beginning with two initial discovery programs focused on identifying novel T-cell engaging multispecific antibodies. In addition, the companies have committed to launching a third discovery program within the next twelve months.
Under the terms of the arrangement, AbCellera will lead discovery and early-stage research activities for each program. This work will involve identifying therapeutic candidates, optimizing antibody designs, and generating data necessary to support future development decisions.
For each research program, Jazz will receive an option to assume responsibility for subsequent development and commercialization activities. If Jazz chooses to exercise its option and pays the applicable option fee, the company will obtain exclusive worldwide rights to develop, manufacture, and commercialize products arising from that program.
This structure allows Jazz to evaluate emerging data from the research efforts before committing additional resources to clinical development while providing AbCellera with significant opportunities to participate in the long-term success of resulting therapies.
Financial Terms and Potential Milestones
The collaboration includes substantial financial commitments that underscore both companies’ confidence in the potential of the partnership.
AbCellera will receive total upfront payments of $56 million covering the first two research programs. An additional $28 million payment will be made upon initiation of the third discovery program, bringing the total near-term value of the collaboration to $84 million.
Beyond these initial payments, AbCellera stands to receive significant future compensation if development programs advance successfully. For each program in which Jazz exercises its option, AbCellera may earn up to $792 million through a combination of option fees and development, regulatory, and commercial milestone payments.
These milestone opportunities are tied to key achievements across the product development lifecycle, including clinical progress, regulatory approvals, and commercial performance.
In addition to milestone payments, AbCellera will be eligible to receive tiered royalties on future net sales of any commercialized products. Royalty rates are structured to range from the mid-single digits to the low double digits, allowing the company to participate in long-term commercial success should therapies resulting from the collaboration reach the market.
The agreement also provides flexibility for future expansion. Jazz and AbCellera may mutually agree to initiate up to two additional research programs beyond the initial three. Furthermore, the companies can choose to extend AbCellera’s involvement into later development stages, including investigational new drug (IND)-enabling studies and the manufacturing of clinical trial material.
